COMTO NATIONAL BOARD OF DIRECTORS ELECTIONS

Overview

The COMTO National Board of Directors provides leadership to COMTO, enabling the organization to be a significant resource in the field of transportation. As the legal body of the organization, the COMTO Board of Directors establishes policy and guidelines for programmatic and membership activities and leads COMTO by setting the strategic direction. This requires knowledge and experience in the transportation industry, mature judgment and the ability to influence and empower others. Members of the COMTO Board of Directors must have:

  • Demonstrated leadership as evidenced by current position, organizational responsibilities, professional accomplishments and participation in transportation-related activities at the local, state and national levels.
  • Knowledge and experience in the field of transportation as evidenced by significant involvement in directing or managing major components of transportation organizations or having other policymaking or program direction responsibilities.
  • Understanding of strategic thinking as applicable to COMTO’s organizational hierarchy and the relationship of the mission and purpose of the organization to emerging and future transportation trends.
  • Ability to represent COMTO as a national organization to local chapter membership and transportation industry constituent groups and organizations.
  • Ability to perform at an executive level as part of a team.
  • Ability to attend COMTO Board meetings at no expense to COMTO.
  • Ability and capacity to participate in National Fundraising activities.

In addition, per the COMTO National Bylaws, Individuals nominated for service as National Officers of COMTO shall be recruited, whenever possible, from those COMTO members who are policy board members, chief executive officers, chief administrative officers, deans of institutions of higher learning, agency directors, policy makers and other senior management level employees of the institutions, governments, and organizations for which they serve.

National Officer’s Responsibilities

National Chair (ARTICLE IV: NATIONAL OFFICERS, Section 5)
The National Chair shall preside at all meetings of COMTO; serve as Chair of the Board of Directors; communicate and interpret policy; and shall serve as a link between and amongst the CEO, the membership, the Board of Directors, and the Executive Officers on matters of policy. Except as may be otherwise provided in these Bylaws, the National Chair shall be a member ex- officio of all committees of the Board of Directors, with the exception of the Nominating Committee. He or she Conference Of Minority Transportation Officials Bylaws 11 shall preside at meetings of the Executive Committee or of other administrative committees, in the absence of the elected chair of any such committee, unless otherwise provided by these Bylaws or by rules adopted by the Board of Directors. The National Chair shall perform these duties in accordance with the job description for this office approved by the Board of Directors, and shall perform such other duties and exercise such other powers as the Board of Directors may from time to time grant or prescribe. In the event that the office of National Chair becomes vacant for any reason, the First Vice-Chair shall assume the title and duties and responsibilities of National Chair until the next election of National Officers.

First Vice-Chair (ARTICLE IV: NATIONAL OFFICERS, Section 6)
The First Vice-Chair shall be responsible for ensuring that the activities of the standing committees are consistent with the goals and objectives of COMTO. The First Vice-Chair shall assume the duties of the National Chair and serve as presiding officer in the absence of the National Chair and shall act on behalf of the National Chair to carry out such duties as delegated by the National Chair. The First Vice-Chair shall perform these duties in accordance with the job description for this office approved by the Board of Directors, and shall perform such other duties and exercise such other powers as the Board may from time to time grant or prescribe.

Second Vice-Chair (ARTICLE IV: NATIONAL OFFICERS, Section 7)
The Second Vice-Chair shall oversee, coordinate and stimulate, under the direction of the National Chair, the technical assistance and support for the activities of the local chapters and ensure that activities are consistent with the goals and objectives of COMTO. The Second Vice-Chair shall assume the duties of the First Vice-Chair in the absence of the First Vice-Chair and will assume the duties of the National Chair in the absence of both the National Chair and the First Vice-Chair.

Secretary-Treasurer (ARTICLE IV: NATIONAL OFFICERS, Section 8)
The Secretary-Treasurer shall serve as both corporate secretary-treasurer and as a National Officer. The Secretary-Treasurer shall be responsible for COMTO’s financial affairs, administering the minutes of each meeting, conducting roll call votes, making reports to the Board of Directors and the membership, and authorizing the issuance of notices of meetings, as may be prescribed by the National Chair. The Secretary-Treasurer shall be the Chair of the Budget and Finance Committee of the Board of Directors, and shall serve as the fiscal officer responsible for reviewing and monitoring the accuracy of all books, accounts, and transactions, and oversight of the filing of all federal, state and local tax and information returns. The Secretary-Treasurer shall also have oversight of the Chief Executive Officer’s care and custody of all funds. The Secretary-Treasurer shall perform these duties in accordance with the job description for this office approved by the Board of Directors, and shall perform such other duties and exercise such other powers as the Board of Directors may from time to time grant or prescribe.

Additional Board Members: Three (3) At-Large Seats*
*Two additional at large seats (totaling five) will be appointed by the National Chair to ensure that the Board members reflect the ethnicity and modal diversity that COMTO espouses. Article V Section 2 of the National Bylaws.

These Board positions shall be elective positions, with the board members elected bi-annually by the membership, in addition to the National Officers. As with all Board seats, At-large candidates must have (1) been a COMTO member in consistent good financial standing for at least one (1) year prior to the election date; (2) paid the national dues amount appropriate to his or her membership category for the current year at least sixty (60) days prior to the election date, and (3) a current employer who is an organizational member of COMTO in good financial standing as of the election date.

*Two additional at large seats (totaling five) will be appointed by the National Chair to ensure that the Board members reflect the ethnicity and modal diversity that COMTO espouses. Article V, Section 2 of the National Bylaws.

Eligibility

As per the COMTO National Bylaws, there is no predetermined succession within the ranks of the National Officers. However, a member must have served on the Board of Directors to be considered for the positions of National Chair, First Vice-Chair and Second Vice-Chair. The position of Secretary-Treasurer is exempt from this requirement.

Term: All Board members, including the National Officers and the Immediate Past National Chair, shall serve for a term of two (2) years from the date of election. No National Officer shall serve for more than two (2) consecutive two-year terms in the same office.

The Nominating Committee shall be responsible for preparing and submitting a slate of nominees to national offices for election by the membership at the annual meeting. The candidates on this slate must meet the appropriate Board eligibility requirements listed below Only the candidates listed on this slate will be eligible for election to these offices, and there will be no petition or from-the-floor nominations for elections. The ballot may include more than one candidate for each position.

Eligibility for COMTO Board Membership
To be eligible for election by the membership to serve on the COMTO Board of Directors, a person must have
(1) been a COMTO member in consistent good financial standing for at least one {1} year prior to the election date;
(2) paid the national dues amount appropriate to his or her membership category for the current year at least sixty (60) days prior to the election date; and
(3) a current employer who is an organizational member of COMTO in good financial standing as of the election date.

Eligibility for National Chair of the COMTO Board of Directors
To be eligible for election by the membership to the office of National Chair of the COMTO Board of Directors, a member must have:
(1) been a COMTO member in consistent good financial standing for at least three (3) years prior to the election date;
(2) paid the national dues amount appropriate to his or her membership category for the current year at least sixty (60) days prior to the election date;
(3) a current employer who is an organizational member of COMTO in good financial standing as of the election date; and
(4) served with distinction as a COMTO Board Member.

Eligibility for Secretary-Treasurer of the COMTO Board of Directors
To be eligible for election by the membership to the office of Secretary- Treasurer, a member must have
(1) been a COMTO member in consistent good financial standing for at least one {1} year prior to the election date;
(2) paid the national dues amount appropriate to his or her membership category for the current year at least sixty (60) days prior to the election date;
(3) a current employer who is an organizational member of COMTO in good financial standing as of the election date; and
(4) must also hold, or have held, a senior financial management position within the organization or company by which he or she is employed, or possess a similarly high level of demonstrable fiscal management experience.
